Introduction
We are StudyAmigo Inc ("Company", "we", "us", "our"), a company registered in Kenya. We operate the website studyamigo.online (the "Site"), as well as any other related products and services that refer or link to these Legal Terms (collectively, the "Services"). We are an educational platform for the Mathematics Analysis and Approaches (Math AA) curriculum in the International Baccalaureate (IB) Diploma Programme. These Legal Terms constitute a legally binding agreement between you ("you", "your") and StudyAmigo Inc concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY. We will provide you with prior notice of any scheduled changes to the Services. Modified Legal Terms become effective upon posting or notification to your registered email address. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. AGE REQUIREMENT The Services are intended for users who are at least 16 years of age. All users who are minors in their jurisdiction (generally under 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, your parent or guardian must read and agree to these Legal Terms prior to your use of the Services. We recommend that you print or save a copy of these Legal Terms for your records.
01. Our Services
The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with applicable local laws. The Services are not tailored to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or the Gramm-Leach-Bliley Act (GLBA). If your use of the Services would be subject to such laws, you may not use the Services.
02. Intellectual Property Rights
Our Intellectual Property We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties in Kenya and around the world. The Content and Marks are provided through the Services on an AS IS basis for your personal, non-commercial use only. Your Use of Our Services Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to: • Access the Services; and • Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. No part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise commercially exploited without our express prior written permission. Requests for such use should be directed to help.ibaamigo@gmail.com. All material on the AAmigo website is for individual use only. Account ownership may not be transferred or shared with other people. You may not store any significant portion of AAmigo Content in any form. Any breach of these Intellectual Property Rights will constitute a material breach of these Legal Terms and your right to use the Services will terminate immediately. Your Submissions and Contributions Submissions: By sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. We shall own the Submission and be entitled to its unrestricted use for any lawful purpose, without acknowledgment or compensation to you. Contributions: Where the Services invite you to post or contribute content, including text, video, audio, photographs, comments, reviews, or ratings ("Contributions"), you grant us the licence described in Section 08 below. Any Submission publicly posted shall also be treated as a Contribution. You are solely responsible for your Submissions and Contributions and agree to reimburse us for any losses arising from your breach of these Terms, any third party's intellectual property rights, or applicable law. We may remove or edit any Contributions at any time without notice if we consider them harmful or in breach of these Legal Terms. We may also suspend or disable your account and report you to the relevant authorities.
03. User Representations
By using the Services, you represent and warrant that: • All registration information you submit is true, accurate, current, and complete; • You will maintain the accuracy of such information and promptly update it as necessary; • You have the legal capacity and agree to comply with these Legal Terms; • You are at least 16 years of age; • If you are a minor in your jurisdiction, you have received parental or guardian permission to use the Services; • You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; • You will not use the Services for any illegal or unauthorised purpose; and • Your use of the Services will not violate any applicable law or regulation. If any information you provide is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.
04. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, obscene, or otherwise objectionable.
05. Free Beta
AAmigo is free to use while we are in beta. There are no paid plans, subscriptions, free trials, or in-app purchases, and we never ask for or store payment details. If this changes, we will update these Legal Terms and give you notice before any paid feature applies to your account. Nothing you already use will be charged without your clear agreement.
06. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to: • Systematically retrieve data or content from the Services to create a database, compilation, or directory without our written permission • Trick, defraud, or mislead us or other users, including any attempt to obtain sensitive account information such as passwords • Circumvent, disable, or interfere with security-related features of the Services • Disparage, tarnish, or otherwise harm us or the Services • Use information obtained from the Services to harass, abuse, or harm another person • Make improper use of our support services or submit false reports of abuse or misconduct • Use the Services in a manner inconsistent with applicable laws or regulations • Engage in unauthorised framing of or linking to the Services • Upload or transmit viruses, Trojan horses, spam, or other material that interferes with the use or enjoyment of the Services • Engage in any automated use of the system, including scripts, data mining, robots, or similar tools • Delete any copyright or proprietary notices from any Content • Attempt to impersonate another user or person • Upload any material that acts as a passive or active data collection or transmission mechanism (e.g. spyware, web bugs, tracking pixels) without disclosure • Interfere with, disrupt, or create an undue burden on the Services or connected networks • Harass, annoy, intimidate, or threaten our employees or agents • Attempt to bypass any access restriction measures on the Services • Copy or adapt the Services' software, including HTML, JavaScript, or other code • Decipher, decompile, disassemble, or reverse engineer any software comprising the Services, except as permitted by applicable law • Use any automated system, including spiders, robots, scrapers, or offline readers, to access the Services beyond standard browser usage • Collect usernames or email addresses for the purpose of sending unsolicited communications • Use the Services as part of any effort to compete with us or for any revenue-generating commercial enterprise not expressly authorised by us • Sell or otherwise transfer your account or profile
07. User Generated Contributions
Where the Services allow you to post or contribute content, including text, video, audio, photographs, graphics, comments, suggestions, or personal information (collectively, "Contributions"), such Contributions may be viewable by other users and through third-party websites. By creating or making available any Contributions, you represent and warrant that: • Your Contributions do not infringe the copyright, patent, trademark, trade secret, or moral rights of any third party • You are the creator and owner of your Contributions, or have all necessary licences, rights, consents, and permissions to post them and to grant us the rights described in Section 08 • You have obtained written consent from any identifiable individual featured in your Contributions • Your Contributions are not false, inaccurate, or misleading • Your Contributions are not unsolicited advertising, spam, pyramid schemes, or other forms of solicitation • Your Contributions are not obscene, violent, harassing, libellous, or otherwise objectionable • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone • Your Contributions do not violate the privacy or publicity rights of any third party • Your Contributions do not violate any applicable law concerning child protection or the well-being of minors • Your Contributions do not contain offensive references to race, national origin, gender, sexual orientation, or disability • Your Contributions do not otherwise violate these Legal Terms or any applicable law Violation of the foregoing may result in termination or suspension of your rights to use the Services.
08. Contribution Licence
By posting Contributions to any part of the Services, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide licence to host, use, copy, reproduce, disclose, sell, publish, broadcast, archive, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose, commercial, advertising, or otherwise, and to prepare derivative works from them or incorporate them into other works. This licence applies to any media format or channel, now known or hereafter developed, and includes use of your name, trademarks, service marks, logos, and personal or commercial images you provide. You waive all moral rights in your Contributions. You retain full ownership of your Contributions and all associated intellectual property rights. We are not liable for any statements or representations in your Contributions. We have the right, in our sole discretion, to edit, redact, re-categorise, or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.
09. Guidelines for Reviews
Where we provide areas on the Services for reviews or ratings, you must comply with the following: • You should have firsthand experience with the subject being reviewed • Reviews must not contain offensive, abusive, racist, or hateful language • Reviews must not contain discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability • Reviews must not reference illegal activity • You should not post negative reviews if you are affiliated with a competitor • You may not post false or misleading statements • You may not organise campaigns encouraging others to post reviews, whether positive or negative We may accept, reject, or remove reviews at our sole discretion. Reviews are not endorsed by us and do not necessarily represent our views. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable licence to reproduce, modify, translate, display, perform, and distribute all content relating to that review.
10. Services Management
We reserve the right, but not the obligation, to: • Monitor the Services for violations of these Legal Terms • Take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such users to law enforcement • Refuse, restrict, limit, or disable any of your Contributions or any portion thereof • Remove or disable files and content that are excessive in size or burdensome to our systems • Otherwise manage the Services to protect our rights and property and to facilitate proper functioning
11. Privacy Policy
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms and available on the Site. The Services are hosted in Kenya. If you access the Services from a region with laws governing personal data collection, use, or disclosure that differ from Kenyan law, your continued use of the Services constitutes your consent to have your data transferred to and processed in Kenya. We do not knowingly accept, request, or solicit information from children under the age of 16. In accordance with the US Children's Online Privacy Protection Act (COPPA), if we receive actual knowledge that anyone under 13 has provided personal information without the requisite verifiable parental consent, we will delete that information as quickly as reasonably practical.
12. Copyright Infringements
We respect the intellectual property rights of others. If you believe any material on the Services infringes upon a copyright you own or control, please notify us immediately at help.ibaamigo@gmail.com. Please note that under applicable law, you may be held liable for damages if you make material misrepresentations in a copyright infringement notification. If you are uncertain whether material infringes your copyright, we recommend consulting a legal professional before submitting a notification.
13. Term and Termination
These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services, including blocking IP addresses, to any person for any reason, including breach of these Legal Terms or any applicable law. We may terminate your account and delete any content or information you have posted at any time, without warning. If your account is terminated or suspended, you are prohibited from registering a new account under your name, a false name, or the name of any third party. We reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive remedies.
14. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time, at our sole discretion and without notice. We have no obligation to update any information on the Services and will not be liable for any modification, suspension, or discontinuance. We cannot guarantee the Services will be available at all times. We reserve the right to suspend, discontinue, or otherwise modify the Services at any time without notice. We have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.
15. Governing Law
These Legal Terms are governed by and construed in accordance with the laws of the Republic of Kenya. StudyAmigo Inc and you irrevocably consent to the exclusive jurisdiction of the courts of Kenya to resolve any dispute arising in connection with these Legal Terms.
16. Dispute Resolution
Informal Negotiations Before initiating arbitration, the parties agree to first attempt to resolve any dispute, controversy, or claim arising out of or related to these Legal Terms (each a "Dispute") informally for at least 30 days. Informal negotiations begin upon written notice from one party to the other. Binding Arbitration Any Dispute not resolved through informal negotiation shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146), in accordance with its Rules. The number of arbitrators shall be two (2). The seat of arbitration shall be Nairobi, Kenya. Proceedings shall be conducted in English. The substantive law of Kenya shall govern. Restrictions All arbitration shall be limited to the Dispute between the parties individually. To the fullest extent permitted by law: • No arbitration may be joined with any other proceeding • No Dispute may be arbitrated on a class-action basis • No Dispute may be brought in a representative capacity on behalf of the general public or any other persons Exceptions The following Disputes are not subject to informal negotiation or binding arbitration: • Disputes seeking to enforce or protect the validity of either party's intellectual property rights • Disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorised use • Claims for injunctive relief If any part of this section is found to be illegal or unenforceable, that portion shall be severed and the remaining Dispute shall be decided by a court of competent jurisdiction within the courts of Kenya.
17. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including in descriptions and availability. We reserve the right to correct any such errors and to update information at any time, without prior notice.
18. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR ANY LINKED WEBSITES, AND ASSUME NO LIABILITY FOR: (1) ERRORS, MISTAKES, OR INACCURACIES IN CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES; (3) UNAUTHORISED ACCESS TO OUR SERVERS OR YOUR PERSONAL OR FINANCIAL INFORMATION; (4) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (5) BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICES; OR (6) ANY LOSS OR DAMAGE ARISING FROM USE OF CONTENT POSTED OR TRANSMITTED VIA THE SERVICES. WE DO NOT ENDORSE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SERVICES.
19. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWO (2) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION ARISING. CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.
20. Indemnification
You agree to defend, indemnify, and hold harmless StudyAmigo Inc and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of or related to: (1) your Contributions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) your breach of any representations or warranties in these Legal Terms; (5) your violation of a third party's rights, including intellectual property rights; or (6) any harmful act toward another user of the Services. We reserve the right, at your expense, to assume exclusive control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.
21. User Data
We will maintain certain data you transmit to the Services for the purpose of managing service performance. Although we perform regular routine backups, you are solely responsible for all data you transmit or that relates to your activity on the Services. We have no liability for any loss or corruption of such data, and you hereby waive any right of action against us arising from any such loss or corruption.
22. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and transaction records. You waive any rights or requirements under any laws that require an original signature or non-electronic records.
23. California Users and Residents
If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible for any loss, damage, delay, or failure to act caused by events beyond our reasonable control. If any provision of these Legal Terms is found to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us by these Legal Terms. These Legal Terms shall not be construed against us by virtue of having drafted them. You waive any defences based on the electronic form of these Legal Terms or the lack of physical signatures.
